1. Acceptance of Terms

By accessing and using automic.ca (the "Site") and its related services, you accept and agree to be bound by the terms and provision of this agreement. These Terms are a binding legal agreement between you and Ultra Rare Inc., doing business as Automic.

2. Trademark and Affiliation Disclaimer

Automic.ca and Ultra Rare Inc. are independent entities. We are NOT affiliated, associated, authorized, endorsed by, or in any way officially connected with Broadcom Inc., their subsidiary Automic Software, or any of their subsidiaries or affiliates. The name "Automic" as used on this website refers solely to the branding of our automation services found at automic.ca.

3. Description of Service

Automic provides business automation tools, including but not limited to "missed call text back" capabilities, SMS marketing infrastructure, and customer relationship management features.

4. Acceptable Use & Anti-Spam Policy

You agree strictly to NOT use the Service to:

• Send unsolicited messages (spam) in violation of Canada's Anti-Spam Legislation (CASL) or the US Telephone Consumer Protection Act (TCPA).
• Send messages containing harassment, hate speech, or illegal content.
• Violate the privacy rights of others.

Violation of this section may result in immediate termination of your account without refund.

5. Fees, Payments, and Refunds

• Billing: Services are billed on a recurring basis via our payment processors, Stripe or PayPal.
• No Refunds: All sales are final. Because our software offers immediate access to intellectual property and incurs immediate telecommunications costs on our end, we do not offer refunds for any subscription fees or usage credits once paid.
• Cancellation: You may cancel your subscription at any time via your account dashboard. Your access will continue until the end of your current billing period.

6. SMS/MMS Messaging

• Carrier Fees: You acknowledge that SMS/MMS messaging may incur carrier fees or usage-based billing from us, depending on your selected plan.
• Deliverability: We do not guarantee 100% deliverability of messages, as this depends on downstream carriers and networks.

7. Limitation of Liability

To the fullest extent permitted by law, Ultra Rare Inc. shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities, arising out of your use or inability to use the Service. Specifically, we are not liable for business lost due to missed calls, undelivered texts, or software downtime.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein.
